These Terms of Service govern your access to and use of CEO Life's websites, services, and membership community.

1. Agreement to Terms

These Terms of Service ("Terms" or "Agreement") constitute a legally binding agreement between you (the "Member") and CEO Life Corporation ("CEO Life," "we," "us," or "our") governing your access to and use of our websites, mobile applications, member platforms, events, and all related services (collectively, the "Services").

This Agreement is designed to ensure an extraordinary, high-trust experience for all our executive leaders. It confirms your membership, outlines the shared standards of conduct, and protects the integrity of our private community.

By accessing or using our Services, applying for membership, attending our events, or otherwise engaging with CEO Life, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

THE CORE PRINCIPLE: MEMBERSHIP IS A CONDITIONAL PRIVILEGE EXTENDED TO LEADERS WHO ALIGN WITH OUR VALUES. WE ARE COMMITTED TO PROTECTING THE COMMUNITY'S VALUE FOR EVERYONE.

If you do not agree to these Terms, you must not access or use our Services. We recommend that you print or save a copy of these Terms for your records.

2. Eligibility & Selective Admission

CEO Life is a selective, private leadership community designed exclusively for CEOs, founders, executives, and senior leaders who value meaningful connection, personal growth, and collective impact. Membership is offered by invitation or approval only and is extended at the sole discretion of CEO Life.

Eligibility is based on factors including, but not limited to:

  • Leadership role or executive responsibility (CEO, President, Founder, Managing Partner, or equivalent)
  • Professional experience and maturity
  • Alignment with the values and intent of the CEO Life community
  • Willingness to contribute positively to the collective environment
  • Being at least 18 years of age
  • Having the legal authority to enter into these Terms

CEO Life reserves the right to approve, deny, or revoke membership at any time if eligibility criteria are no longer met. Misrepresentation of your qualifications or professional status may result in immediate termination of membership without refund.

3. Membership Terms & Nature of Membership

Nature of Membership: A Conditional Privilege

Membership grants a limited, revocable, non-transferable license to participate in CEO Life experiences, programming, and community environments. Membership does not confer ownership, partnership, equity, employment, or agency of any kind.

Community-Centered Intent: The Collective Comes First

CEO Life exists to protect the integrity, trust, and quality of its community. We will always prioritize the health and trust of the community over any single member's preference. This principle guides all enforcement.

All provisions of this Agreement are interpreted and enforced with the primary objective of safeguarding the collective experience of the membership as a whole. Individual preferences, expectations, or outcomes do not supersede the best interests of the community.

Application and Acceptance

Membership in CEO Life is by application and invitation only. Submission of an application does not guarantee acceptance. All applications are reviewed by our membership committee, and decisions are made based on alignment with our community standards, chapter capacity, and overall community composition.

Membership Period

Membership is offered on an annual basis unless otherwise specified. Your membership period begins on the date of acceptance and continues for twelve months, subject to renewal.

Non-Transferability

Membership is personal and non-transferable. You may not assign, delegate, or transfer your membership or any rights or obligations under these Terms to any third party without our prior written consent.

Membership Benefits

Membership benefits may include access to chapter events, national gatherings, member directory, online community platform, curated experiences, and other resources as determined by CEO Life. Specific benefits may vary by membership tier and chapter location. We reserve the right to modify membership benefits at any time with reasonable notice to members.

Family Member Guest Privileges

Each Member is entitled to extend an invitation to one (1) designated family member to attend CEO Life events and experiences as a guest. This family member guest privilege is subject to the following conditions:

  • One Designated Person for Life of Membership: The designated family member must remain the same person for the entire duration of your membership. Once designated, this family member cannot be substituted, changed, or switched out at any time—not between events, not between membership years. This designation is permanent for as long as you remain a member.
  • Member Attendance Required: The family member guest may only attend events and experiences when the Member is also in attendance. Unaccompanied attendance by the family member is not permitted.
  • Separate Fees: Any fees associated with events or experiences are separate and additional for the family member guest. These fees will be communicated at the time of registration.
  • Agreement Required: The family member guest must sign a CEO Life Guest Agreement and agree to abide by all community rules, standards of conduct, and confidentiality obligations as outlined in these Terms.
  • Subject to Approval: CEO Life reserves the right to approve or deny family member guest attendance at its sole discretion.

Violation of guest policies by either the Member or the family member guest may result in revocation of guest privileges and/or suspension or termination of the Member's membership.

4. Fees, Payment & Refund Policy

Membership Fees

Membership fees are established at the time of enrollment and are payable in full according to the selected membership option. Current dues are communicated during the application process and may vary by chapter and membership tier.

Non-Refundable Fees: Commitment to the Community

To ensure the quality and commitment of our curated community, all fees are NON-REFUNDABLE, as resources are allocated immediately upon enrollment.

ALL MEMBERSHIP FEES ARE NON-REFUNDABLE AND NON-TRANSFERABLE.

Membership fees are not tied to event attendance, participation level, usage, or outcomes, and no refunds, credits, or prorations will be issued for any reason.

Cancellation Policy: If you cancel your Membership, you may use your Membership until the end of your then-current Membership Term; your Membership will not be renewed after your then-current Membership Term expires. However, you will not be eligible for a prorated refund of any portion of the Membership Fees paid for the then-current Membership Term.

Event Fees

Certain events, experiences, and programs may require additional fees beyond membership dues. Event fees will be clearly communicated at the time of registration.

Payment Authorization

By enrolling, you authorize CEO Life to process payment using the selected payment method. We accept payment by credit card, bank transfer, or other methods as specified. All payments are processed through secure third-party payment processors. Failure to complete payment may result in delayed access, suspension, or cancellation of membership.

Taxes

All fees are exclusive of applicable taxes. You are responsible for paying any taxes associated with your membership or participation in events, except where we are legally required to collect such taxes.

5. Use of Services

Permitted Use

You may use our Services solely for your personal, non-commercial purposes as a member of the CEO Life community, and in accordance with these Terms. You agree to use the Services only for lawful purposes and in a manner consistent with the nature and purpose of our leadership community.

Prohibited Uses

You agree not to:

  • Use the Services for any commercial solicitation, advertising, or promotion without prior written consent
  • Access or attempt to access other members' accounts or private information
  • Interfere with or disrupt the Services or servers or networks connected to the Services
  • Use automated systems, bots, or scripts to access the Services
  • Collect or harvest any information from the Services or other members
  • Impersonate any person or entity or misrepresent your affiliation
  • Upload or transmit viruses, malware, or other harmful code
  • Violate any applicable laws, regulations, or third-party rights
  • Use member contact information for purposes unrelated to CEO Life community activities

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

6. Member Conduct & Leadership Standards

Members are expected to conduct themselves in a manner consistent with the standards of a high-trust, executive-level community. CEO Life is built on a foundation of trust, respect, and authentic connection. As a member, you agree to uphold the following community standards:

Professional Conduct & Integrity

Act with integrity, professionalism, and respect. Treat all members, staff, and partners with dignity. Engage in constructive, non-disruptive communication and maintain the dignity of all community interactions.

Authenticity

Represent yourself and your business honestly. Share experiences and insights genuinely, without exaggeration or misrepresentation.

Confidentiality

Respect the confidentiality and privacy of other members. What is shared in the community stays in the community.

Non-Solicitation

Refrain from aggressive sales tactics, unsolicited business pitches, or using the community primarily for commercial gain.

Trust & Cohesion

Refrain from behavior that undermines trust, safety, or cohesion within the community.

Inclusivity

Embrace diversity and create a welcoming environment for all members regardless of background, industry, or perspective.

CEO Life maintains sole discretion in determining whether conduct aligns with community standards. Violation of these community standards may result in warnings, suspension, or termination of membership at our sole discretion.

7. Confidentiality & Trust

Confidential Nature of the Community: Protecting the Safe Space

What is shared in the community stays in the community. This includes all discussions, both in-person and digital.

Members acknowledge that conversations, information, materials, and interactions within the community are Confidential Information. Members agree to respect the confidentiality of all non-public information shared by other members, speakers, partners, or CEO Life, whether disclosed verbally, digitally, or in writing, including all discussions within peer-group sessions and digital messaging channels.

Member Confidentiality Obligations

Members shall not disclose, reproduce, share, or misuse Confidential Information obtained through CEO Life, including but not limited to:

  • Personal or professional information of other members
  • Business strategies, financial details, or proprietary insights
  • Private discussions, communications, or shared experiences
  • The identity and membership status of other members, unless they have given explicit permission to share
  • Details of private conversations, forum discussions, and group sessions

BREACH OF THIS SECTION 7 IS CONSIDERED A MATERIAL BREACH OF THIS AGREEMENT AND IS GROUNDS FOR IMMEDIATE TERMINATION OF MEMBERSHIP.

This confidentiality obligation survives termination of your membership. Breach of confidentiality may also expose you to legal liability.

8. Non-Solicitation Policy

Maintaining the Integrity of the Peer Group

This is a strictly non-solicitation environment. Do not pitch, sell, or market to any other member unless they have explicitly requested it verbally or in writing.

The CEO Life community is a strictly non-solicitation environment. Members agree not to engage in any unrequested commercial contact with other Members, their families, or their guests.

Definition of Solicitation

Solicitation is defined as any unrequested attempt to sell, market, promote, or pitch products, services, investments, or business opportunities to another Member, whether directly or indirectly, in person, via email, phone, digital platform, or social media.

BREACH OF THIS POLICY IS A MATERIAL BREACH OF THIS AGREEMENT AND IS GROUNDS FOR IMMEDIATE TERMINATION.

9. Non-Disparagement

No Public Disparagement During Disputes

Members agree not to publicly disparage, misrepresent, or escalate disputes related to CEO Life while an internal review is pending. Public statements, posts, or communications that materially harm the community, its members, or CEO Life may result in suspension or termination of membership.

This provision is designed to protect the integrity of the community and ensure that disputes are resolved through appropriate internal channels rather than public forums.

10. Intellectual Property & Collective Wisdom

CEO Life Property

All content, features, and functionality of our Services—including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and the compilation thereof—are the exclusive property of CEO Life Corporation or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Trademarks

"CEO Life," the CEO Life logo, "Gather · Grow · Give," and all related names, logos, product and service names, designs, and slogans are trademarks of CEO Life Corporation. You may not use such marks without our prior written permission.

Community Content & Collective Wisdom

While Members retain ownership of their individual business data and proprietary information shared, Members acknowledge that the synthesized insights, collective wisdom, and aggregated content generated during peer-group sessions and community programming are the property of CEO Life.

Members shall not reproduce, package, or commercially exploit such collective content without the express written consent of CEO Life.

Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial purposes. This license does not include the right to modify, reproduce, distribute, create derivative works from, publicly display, or commercially exploit any content without our prior written consent.

11. User Content

Your Content

You may have the opportunity to submit, post, or share content through our Services, including profile information, forum posts, comments, photographs, and other materials ("User Content"). You retain ownership of your User Content, subject to the license granted below.

License Grant

By submitting User Content, you grant CEO Life a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in connection with operating and promoting our Services.

Content Standards

You represent and warrant that your User Content:

  • Is accurate and not misleading
  • Does not violate any applicable law or regulation
  • Does not infringe any third-party intellectual property or privacy rights
  • Is not defamatory, obscene, threatening, or otherwise objectionable
  • Does not contain viruses or other harmful code

Content Removal

We reserve the right to remove or modify any User Content that we determine, in our sole discretion, violates these Terms or is otherwise objectionable, without prior notice to you.

12. Third-Party Services and Links

Our Services may contain links to third-party websites, applications, or services that are not owned or controlled by CEO Life. We may also integrate with third-party platforms for member communications, event management, or other purposes.

We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. Your use of third-party services is at your own risk and subject to the terms and policies of those third parties.

The inclusion of any link or integration does not imply endorsement by CEO Life of the linked site or service.

13. Disclaimers & No Guaranteed Outcomes

No Guaranteed Outcomes

Membership in CEO Life does not guarantee specific business results, financial outcomes, referrals, opportunities, or personal benefits. Value is derived from participation in a curated environment, not from promised outcomes or individualized results.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, CEO LIFE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, we do not warrant that:

  • The Services will meet your specific requirements or expectations
  • The Services will be uninterrupted, timely, secure, or error-free
  • The results obtained from using the Services will be accurate or reliable
  • Any errors in the Services will be corrected
  • Membership will result in any particular business outcomes

CEO Life does not provide legal, financial, tax, or professional advice. Any information provided through our Services is for general informational purposes only and should not be relied upon as professional advice.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CEO LIFE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CHAPTER LEADERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the Services
  • Any conduct or content of any third party on the Services
  • Any content obtained from the Services
  • Unauthorized access, use, or alteration of your transmissions or content
  • Any interactions with other members, whether online or at events

TOTAL LIABILITY, IF ANY, SHALL NOT EXCEED THE AMOUNT OF MEMBERSHIP FEES PAID BY THE MEMBER DURING THE APPLICABLE MEMBERSHIP TERM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

15. Indemnification

You agree to defend, indemnify, and hold harmless CEO Life Corporation, its officers, directors, employees, agents, chapter leaders, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of the Services, your User Content, or your violation of any rights of a third party.

16. Suspension, Termination & Enforcement

Right to Suspend or Terminate: Protecting the Community

We have the sole discretion to terminate membership if your conduct compromises the community. This determination is made at the sole discretion of CEO Life and is not subject to appeal.

CEO Life reserves the right to suspend or terminate a Member's participation at any time, with or without notice, if the Member's conduct, behavior, or actions are determined to be inconsistent with the standards, values, or intent of the CEO Life community.

Grounds for Immediate Termination

Termination or suspension may occur for reasons including, but not limited to:

  • Breach of Confidentiality (Section 7)
  • Breach of the Non-Solicitation Policy (Section 8)
  • Conduct that disrupts the integrity, safety, or trust of the community
  • Misuse of access to members, platforms, or experiences
  • Misrepresentation or unethical behavior
  • Non-payment of membership dues or fees
  • Failure to comply with this Agreement or CEO Life policies
  • Any other reason we deem appropriate in our sole discretion

Termination by You

You may terminate your membership at any time by providing written notice to CEO Life. Termination does not entitle you to a refund of membership dues already paid.

Effect of Termination

Upon termination or suspension:

  • All access to CEO Life platforms, events, and communications will immediately cease
  • Any unused portion of the membership term is forfeited
  • No refunds, credits, or compensation will be issued

Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to confidentiality obligations, intellectual property provisions, disclaimers, limitations of liability, and indemnification.

17. Dispute Resolution & Arbitration

Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us at [email protected] and attempt to resolve the dispute informally. We will attempt to resolve the dispute through good-faith negotiations for at least thirty (30) days.

Binding Arbitration

Any dispute that cannot be resolved internally shall be resolved through final and binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in English and shall take place in a location mutually agreed upon by the parties.

Class Action Waiver

MEMBERS AGREE THAT ANY DISPUTE MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY AND NOT AS PART OF A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. YOU AND CEO LIFE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

18. Governing Law

These Terms and any dispute arising out of or related to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. To the extent that arbitration is not applicable, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware.

19. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

  • Update the "Effective" date at the top of these Terms
  • Notify members via email of significant changes
  • Post a notice on our website

Your continued use of the Services after the effective date of any modifications constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue use of the Services.

20. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and CEO Life regarding the Services and supersede all prior agreements and understandings.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

Force Majeure

CEO Life shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, civil unrest, or government actions.

21. SMS Terms

By providing your mobile phone number and opting in to receive SMS/text messages from CEO Life, you consent to receive text messages from us for the purposes described below. Your consent is not a condition of membership or any purchase.

SMS Use Cases

We may send you SMS/text messages for the following purposes:

  • Membership updates: Important information about your membership status, renewals, and account notifications
  • Appointment reminders: Reminders about scheduled events, gatherings, meetings, or calls
  • Promotional offers: Information about special programs, events, or membership opportunities
  • Informational messages: Updates about CEO Life activities, chapter news, and community announcements

Opt-Out Instructions

You may opt out of receiving SMS messages at any time by replying STOP to any text message you receive from CEO Life. Once you send the STOP command, we will send you a confirmation message and you will no longer receive SMS messages from us unless you opt in again. For assistance with SMS messages, reply HELP to any message or contact us at [email protected].

Message and Data Rates

Message and data rates may apply based on your mobile carrier's plan. You are responsible for any charges incurred from your mobile carrier for receiving text messages from CEO Life.

Carrier Liability

Carriers are not liable for delayed or undelivered messages. CEO Life is not responsible for any delays or failures in message delivery that result from issues with your mobile carrier or device.

Acknowledgment

By enrolling in CEO Life, you affirm that you have read, understood, and voluntarily agreed to this Agreement in its entirety and acknowledge that membership is a privilege, not an entitlement.

These Terms of Service were last updated in February 2026. By using CEO Life's services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
